A convertible loan is a type of debt financing most commonly used with startups and small, fast-growing firms. It is a loan that, under predetermined conditions, can be converted (converted) into an equity interest (usually shares) in a company. This form of financing is popular in the early stages (the so-called seed phase), when it is difficult to accurately determine the value of the company.
